Officer Functions
President
The President is the Chief Officer of Spanish Wells Community Association. The President shall officiate at all meetings of the Members and Directors. The President is also the ex-officio member for all standing and temporary committees, and is responsible for the general management of the business of the Spanish Wells Community Association. The President working with the Treasurer and the CAM shall manage CDs, Financial Accounts and other contracts. The term of office of the President may not exceed 5 consecutive years.
Vice-President:
The vice-president acts in the place and stead of the president in the event of his absence and exercises other duties as may be required of him by the Spanish Wells Community Association Board of Directors.
Secretary
The Secretary shall attend all meetings of the Board of Directors and all meetings of the Members. The Secretary must ensure that all votes and the minutes of all proceedings are recorded and stored in a paper form or electronically, and will perform like duties for the standing committees if required. The Secretary shall ensure that a notice of all meetings of the Members and of the Board of Directors has been posted according to Florida Law. The Secretary shall be responsible for the proper recording of all duly adopted amendments to the Governing Documents and must ensured they are recorded with Lee County Florida.
Treasurer
The Treasurer working with the Community Association Manager (CAM) shall be responsible for Spanish Wells Community Association funds and assets. The Treasurer and the CAM are responsible for keeping full and accurate accounts of receipts, invoices, disbursements and any reinvestment activities(typically CDs). The CAM is responsible for depositing all monies in the name of Spanish Wells Community Association(SWCA) in financial institutions as approved by the Spanish Wells Board of Directors. The Treasurer working with the CAM and President shall oversee the disbursement of funds of SWCA. The Treasurer ensures that the CAM is maintaining proper invoices for such disbursements. The Treasurer shall present to the President and board members , at the monthly meetings of the Board, or whenever they may request it, a financial condition of the Spanish Wells Community Association.
The Treasurer schedules an annual audit of the Association Finances to be made by a public accountant at the completion of each fiscal year based on “SWCA Declaration of Protective Covenants and Florida 720 Law. Working with the CAM, financial committee and board members, prepares an annual budget through the use of Budget Workshops. When complete, the Treasurer presents a statement of income, expenses and reserve requirements to the board for approval. Once approved, a copy of the approved budget is sent to the membership via USPS.
Director at Large
The Director at large is the nineth member of the Board of Directors and is a voting member of the board. The member at large fulfills duties as assigned by the President or by the board.
General Manager Golf & Country Club (G&CC)
Responsible for the daily and financial operation of all G&CC facilities including the 3 golf courses. This includes all staff, maintenance and budgets. Works closely with the Spanish Wells Board of Directors and various committees as they relate to the operation of the G&CC.
